These terms of service ("Terms") govern your access to Houski Inc.'s website, application programming interfaces (APIs), data, and any other products or services we provide (the "Services"). The Services are provided as is and at your own risk. Any access or use - browsing, creating an account, making a request, downloading a file, or any other interaction - binds you to these Terms and our Privacy Policy. Your use is expressly conditioned on your agreement to indemnify and hold harmless the Houski Parties on the terms set out below and to all liability limitations, disclaimers, and waivers in these Terms. If you do not agree to any of these provisions, do not access or use the Services.
Changes
We may change these Terms at any time without notice. Changes take effect on posting. Your continued use is acceptance. You are responsible for checking this page periodically.
Eligibility, Account, and Security
You represent that you are at least 18, have legal capacity to contract, have any authority needed to bind any entity you act for, are not subject to any sanction or restricted-party list, and your use does not breach any law or other agreement. You are solely responsible for all activity under your account, for safeguarding your credentials and API key, and for any unauthorized use. We are not liable for any loss arising from a compromised account or key.
License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services. You may not use the Services unlawfully, fraudulently, or in any way not expressly permitted, and you may not use third parties or alternate accounts to circumvent these Terms.
Acceptable Use of Data
You are solely responsible for your use of any data obtained from the Services. You may not use that data for:
- Unlawful discrimination in housing, credit, insurance, employment, or the provision of any goods or services on any ground protected by the Canadian Human Rights Act, any provincial or territorial human rights legislation, the Canadian Charter of Rights and Freedoms, or any other applicable anti-discrimination law.
- Handling of personal information that violates the Personal Information Protection and Electronic Documents Act (PIPEDA), Quebec's Act respecting the protection of personal information in the private sector (Law 25), British Columbia's Personal Information Protection Act, Alberta's Personal Information Protection Act, or any other applicable privacy law, including by combining Services data with personal identifiers without a lawful basis.
- Sending commercial electronic messages in violation of Canada's Anti-Spam Legislation (CASL), the United States CAN-SPAM Act, or any other anti-spam law. Contact information obtained through the Services does not constitute consent.
- Stalking, harassing, defrauding, or harming any person or property, or facilitating any unlawful activity.
Scraping, Crawling, and AI Training
Unauthorized access is prohibited. You may not use crawlers, spiders, or other automated tools to extract data from the Services without our express written consent, except legitimate search engine indexing. Using Services data to train large language models or any other artificial intelligence is prohibited unless that data has been purchased from us for that express purpose.
Display Versus Redistribution
You may display Services data to end users within your own product, application, website, or report - including products sold to other businesses - and cache responses to reduce call volume. You may not deliver raw Services data to any other organization as a feed, file, export, API response, or other bulk transfer for that organization's own use, redistribution, or processing. You may not republish any substantial portion of the database in a form that reproduces the Services. We determine in our sole discretion whether a use is permitted.
Content You Submit
By submitting any data, content, photos, posts, feedback, suggestions, or other material through the Services, you grant Houski Inc. a perpetual, irrevocable, royalty-free, worldwide, sublicensable, transferable license to use, reproduce, modify, distribute, publish, display, sell, and create derivative works from it for any purpose. You waive any moral rights in that material. We own all derivative works, aggregations, analyses, and insights derived from it. This license survives termination.
Community Forum
You may not post spam, illegal content, harassment, or commercial solicitations. We may remove any content and ban any account at our sole discretion without notice.
Fees, Billing, and Refunds
The Houski API uses metered, usage-based billing with a $99 USD per month minimum. At the end of each billing period or on cancellation, you are charged the greater of your usage or the minimum. Subscribing and cancelling the same day still incurs the $99 USD minimum. Automated Valuation Model (AVM) requests are $5.00 USD each. Dataset prices apply as posted at purchase.
All amounts are in United States dollars. Listed prices are exclusive of all taxes, duties, levies, withholdings, and payment processor fees. We may add applicable sales tax, goods and services tax (GST), harmonized sales tax (HST), provincial sales tax (PST), Quebec sales tax (QST), value-added tax (VAT), or other transaction tax to your invoice where required by law. Any tax we do not collect remains your sole responsibility. You bear all foreign-exchange risk and any fees charged by your bank or payment provider.
All fees and charges are final and non-refundable for any reason, including unused service, dissatisfaction, data inaccuracy, account termination, downtime, or change in your circumstances. Initiating a chargeback or payment dispute results in immediate, permanent account termination and entitles us to collect the full amount owed plus any fees, costs, and reasonable legal fees we incur.
Automated Valuation Model
The Houski Automated Valuation Model (AVM) produces machine-learning estimates of property value. AVM results are estimates only and are not appraisals, opinions of value, or guarantees of any kind. They may be inaccurate, incomplete, or unsuitable for any decision and must not be the sole basis for any lending, purchasing, selling, legal, or financial decision.
We do not offer AVM insurance, value protection, accuracy guarantees, or any product under which we pay out or assume financial responsibility based on the difference between an AVM result and any listing price, sale price, appraisal, or other valuation. Aggregate accuracy figures, benchmarks, percentile errors, confidence intervals, and model performance statistics describe historical model performance only and are not a warranty for any specific property. No claim, refund, credit, or chargeback may be brought against us based on AVM accuracy or inaccuracy. You assume all risk associated with any use of AVM results.
Service Availability and Changes
The Services are provided on an as-available basis. They may be unavailable, interrupted, slow, degraded, or fail at any time for any reason, including maintenance, capacity, defects, errors, or events beyond our control. We make no commitment regarding uptime, latency, throughput, performance, or accuracy. No outage entitles you to any refund, credit, damages, or other remedy.
We may modify, suspend, discontinue, rate-limit, throttle, or reprice any part of the Services at any time, with or without notice. We are not liable to you or any third party for any such change.
Termination
We may suspend, restrict, or terminate your access at any time, for any reason or no reason, without notice or liability. On termination, your license ends, you remain liable for all fees accrued before termination, and you are not entitled to any refund or credit. We may delete account data at our discretion. Sections that by their nature should survive will survive.
Third-Party Data
Services data is drawn from many sources, including public records, government datasets, third-party providers, scraped or aggregated web sources, listings, machine-learning models, and user contributions. We do not independently verify source material. The Houski Parties (defined below) accept no liability of any kind for any data sourced from, derived from, or attributable to any third party. Your sole and exclusive remedy for any dissatisfaction with the data is to stop using the Services.
Intellectual Property and Feedback
All content, features, software, machine-learning models, and data of the Services are the exclusive property of Houski Inc. and are protected by Canadian and international law. You may not copy, reproduce, distribute, or create derivative works from the Services without our written consent. Any feedback, suggestion, or idea you provide may be used by us for any purpose without obligation or compensation.
No Warranties
The Services are provided "as is", "as available", and "with all faults". To the maximum extent permitted by law, the Houski Parties disclaim all warranties of every kind, express, implied, statutory, or otherwise, including merchantability, fitness for any particular purpose, title, non-infringement, accuracy, completeness, timeliness, reliability, security, quiet enjoyment, freedom from defects or harmful components, and warranties arising from course of dealing or trade usage. We do not warrant that the Services will be uninterrupted, error-free, secure, or fit for any purpose. Your use of the Services is at your sole risk.
Limitation of Liability
To the maximum extent permitted by law, the total aggregate liability of Houski Inc. and its parents, subsidiaries, affiliates, predecessors, successors, assigns, officers, directors, employees, contractors, agents, partners, suppliers, data providers, and licensors (the "Houski Parties") for all claims arising out of or relating to these Terms or the Services is zero dollars ($0 USD).
The Houski Parties shall not be liable for any damages of any kind, including direct, indirect, incidental, special, consequential, punitive, exemplary, statutory, treble, aggravated, and reliance damages, and including loss of profits, revenue, business, opportunity, goodwill, reputation, data, use, or savings, arising out of or relating to the Services, regardless of the theory of liability (contract, tort including negligence, strict liability, statute, equity, fundamental breach, or otherwise) and even if advised of the possibility of such damages. These limitations are a fundamental basis of the bargain and apply even if any limited remedy fails of its essential purpose.
If a court of competent jurisdiction holds that the foregoing zero-dollar cap is unenforceable, the total aggregate liability of the Houski Parties shall instead be capped at the lesser of (a) the fees actually paid by you to Houski Inc. in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100 USD). Nothing in these Terms limits any liability that by applicable law cannot be limited or excluded, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence.
Indemnification
You will indemnify, defend, and hold harmless the Houski Parties from any and all claims, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees) of any kind, arising out of or in any way relating to any matter connected with your access to or use of the Services, the data, or these Terms, including (a) your use of or inability to use the Services or any data, (b) your breach of these Terms or any applicable law, regulation, or rule, (c) any right of any third party that you violate or are alleged to have violated, (d) any content, data, or material you submit, post, transmit, or otherwise make available through the Services, (e) any activity conducted through your account, whether or not authorized by you, (f) any claim brought by your end users, customers, employees, contractors, or any other third party relating to the Services or any product or service you provide using the Services, (g) any tax, duty, levy, withholding, or similar obligation arising from your use, (h) any claim relating to personal information of any kind, including any actual or alleged unauthorized access, loss, alteration, or disclosure, and (i) any claim that would not have been asserted but for your use of or access to the Services - in each case regardless of the theory of liability and regardless of whether the claim arises in whole or in part from any negligence of any Houski Party, except only for the portion of any claim that a court of final jurisdiction holds was caused by the gross negligence or willful misconduct of a Houski Party that cannot lawfully be indemnified. The Houski Parties may at any time assume sole control of the defense, settlement, and conduct of any indemnified matter at your expense, in which case you will cooperate fully and provide all information and assistance reasonably requested. You may not settle, compromise, consent to the entry of any judgment in, or publicize any such matter without our prior written consent. This obligation survives termination of these Terms and your use of the Services indefinitely.
If you do not agree to indemnify, defend, and hold harmless the Houski Parties on the terms above, you must not access or use the Services.
Equitable Remedies
You acknowledge that a breach of the data redistribution, intellectual property, acceptable use, or scraping sections would cause Houski Inc. irreparable harm for which money damages are inadequate. We may seek injunctive relief, specific performance, and other equitable remedies in any competent court without posting bond or proving actual damages, in addition to all other remedies available at law or in equity. Our remedies are cumulative.
Force Majeure
We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, fire, flood, epidemic or pandemic, power, internet, or telecommunications failure, cyberattack, or failure of any third-party service provider, hosting provider, payment processor, or data center.
Compliance, Sanctions, and Tax
You are solely responsible for ensuring your use complies with all applicable laws and regulations. You confirm you are not located in any sanctioned country and are not on any government list of prohibited or restricted parties. You are responsible for all taxes, duties, levies, and similar charges arising from your use of the Services.
Governing Law, Arbitration, and Waivers
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflicts of law. Any dispute will be resolved by binding arbitration in Calgary, Alberta under the rules of the Canadian Arbitration Association or in the courts of Calgary, Alberta, at our sole discretion. You submit to the exclusive jurisdiction of Calgary, Alberta and waive any objection to venue or forum. Before any proceeding, you must give us written notice and 60 days to resolve the matter informally.
You waive any right to bring or participate in any class action, class arbitration, mass action, consolidated action, private attorney general action, or other representative proceeding against any of the Houski Parties. To the maximum extent permitted by law, you irrevocably waive any right to a trial by jury for any claim relating to these Terms or the Services.
If the class action waiver is held unenforceable for a particular claim in a particular jurisdiction (for example, as to certain consumer claims in Quebec), only that waiver is severed for that claim. The arbitration agreement, jury trial waiver, governing law, forum selection, and all other provisions of these Terms remain in full force and effect.
Any claim arising out of or relating to these Terms or the Services must be commenced within one (1) year of accrual or it is permanently and irrevocably barred, except where a shorter or longer period is required by applicable law that cannot be varied by contract.
Notices and Electronic Communications
We may give you notice by email to the address on your account, by posting on the Services, or by any other method we choose. You consent to receive all communications from us electronically, and electronic communications satisfy any legal requirement that they be in writing.
Miscellaneous
These Terms and our Privacy Policy are the entire agreement between you and Houski Inc. regarding the Services and supersede any prior agreement, marketing, statement, or communication, on which you have not relied. Nothing in these Terms creates any fiduciary, advisory, broker, dealer, agency, partnership, joint venture, or employment relationship. The Services are computational tools and do not constitute legal, financial, tax, real-estate, appraisal, brokerage, lending, insurance, investment, or other professional advice.
You may not assign these Terms without our written consent and any purported assignment is void. We may assign freely. There are no third-party beneficiaries. If any provision is held unenforceable, it will be modified to the minimum extent needed to be enforceable, or severed, and the rest will remain in full effect. Our failure to enforce any provision is not a waiver. Headings are for convenience only. "Including" means "including without limitation". References to statutes include any successor provisions. All provisions that by their nature should survive termination do so, including content licenses granted to us, intellectual property, warranty disclaimers, limitation of liability, indemnification, dispute resolution, class action and jury trial waivers, equitable remedies, time limit, and accrued payment obligations.
